Lotus Technology Acquires Full Equity Interest of Lotus Advance Technologies and Integrate All Business under Lotus Brand

Lotus Technology Inc. announced on 16 April 2025 that Geely International exercised its put option on April 14, 2025, requiring Lotus Technology Inc to purchase Geely’s 51% of the equity interests in Lotus Advance Technologies held by Geely pursuant to the Put Option Agreement dated January 31, 2023 between the parties. Pursuant to the exercise of put option from Geely, Lotus Technology expects to acquire 51% of the equity interest in Lotus UK through a non-cash transaction based on a pre-agreed pricing method. Upon completion, the Lotus Technology will gain control over Lotus UK and consolidate its financial results. The strategic transaction will enable the Company to integrate all businesses under Lotus brand. The acquisition is expected to be completed in 2025, subject to potential regulatory approvals.

  • In May 2017, DRB-HICOM announced plans to sell 51% stake in Lotus Cars to Geely Holdings Group. The deal was signed in June 2017.
  • On April 14, 2025, Geely Holdings Group announced plans to liquidate 51% stake in Lotus Cars to Lotus Technology.

 

Lotus Tech and L Catterton Asia Acquisition Corp Announce Closing of Business Combination

On Feb. 20, 2024, Lotus Technology Inc. (“Lotus Tech” or the “Company”), and L Catterton Asia Acquisition Corp (“LCAA”) (NASDAQ: LCAA), a special purpose acquisition company formed by affiliates of L Catterton, a leading global consumer-focused investment firm, announced that their previously proposed business combination is expected to be completed on February 22, 2024.

The combined company will retain Lotus Tech’s name as “Lotus Technology Inc.” and its American Depositary Shares (ADS) will commence trading on the Nasdaq under the ticker symbol “LOT” on February 23, 2024. The business combination was approved by LCAA shareholders at an extraordinary general meeting held on February 2, 2024.

Lotus Technology entered into an Agreement and Plan of Merger with L Catterton Asia Acquisition Corp on January 31, 2023, on October 11, 2023, and as may be further amended, or modified, the “Merger Agreement”. Upon completion of the transactions contemplated by the Merger Agreement, Lotus Technology will become a Nasdaq-listed public company. The combined company is expected to retain name as “Lotus Technology Inc.” and its ordinary shares represented by American Depositary Shares (ADS) to be listed under the ticker symbol “LOT”.
